ESG and Corporate Governance Guidelines for Hong Kong IPOs

The importance of good environmental, social, and corporate governance (ESG) is increasingly at the forefront of leading investment strategies and is now widely supported by regulators, indices, and exchanges.

In April of this year, the Hong Kong Exchanges and Clearing Limited (HKEX) released a consultation on review of Corporate Governance Code and Related Listing Rules. 
In collaboration with ICAEW, the Chamber has brought together a panel featuring a selection of experts on this topic. These panellists will share their practical insights into the listings application process and how it relates to corporate governance and ESG.

About the speakers

Katherine Ng is the Chief Operating Officer and Head of Policy and Secretariat Services Department in the Listing Division. Ms. Ng joined Hong Kong Exchanges and Clearing Limited (“HKEX”) in 2013. Prior to that, Ms. Ng had served as Political Assistant to the Secretary for Financial Services and the Treasury of the Hong Kong Government, worked in an international investment bank and an international law firm in Hong Kong and London. Ms. Ng holds a Master of Arts in Law from Trinity College, University of Cambridge and is a qualified lawyer in both Hong Kong and England & Wales. Ms. Ng has been the Chairman of Hong Kong Securities and Investment Institute since December 2018. She is an Advisor to Our Hong Kong Foundation, a Director of the World Wide Fund for Nature Hong Kong, a fellow of the Aspen Institute and a Member of the Hong Kong Academy of Finance.

 

 

Keith is presently the Chair of the Standing Committee on Corporate Governance & ESG of the Listing Committee of the SEHK. Keith is also the Deputy Chair of the Listing Committee.

Keith has more than 29 years of extensive financial services experience embracing Banking, Wealth Management & Insurance. He has held a number of senior roles within EY and presently looks after a number of our major client relationships, as well as those with major supranational regulatory bodies such as the Financial Stability Board. He works with many regulators and governments in the region on regulatory and market-reform initiatives. Keith represents EY on the Global Public Practice Committee Bank Working Group.

Keith is a regular speaker and advisor to supranational and regulatory groups in Asia Pacific and globally on topics such as evolving risks facing. He has a deep knowledge of the issues faced by financial institutions in the region when dealing with strategic change and competition.

 

Nicholas Allen, aged 66, has been an Independent Non-Executive Director of Link Asset Management Limited since February 2016 and the Chairman of the Board since April 2016. He is also the Chairman of the Nomination Committee and the Finance and Investment Committee.  Mr. ALLEN was recently appointed as an Independent Non-Executive Director of Hong Kong Exchanges and Clearing Limited., and has been an Independent Non-Executive Director of CLP Holdings Limited since May 2009.  Mr. ALLEN is currently an Independent Non-Executive Director of Lenovo Group Limited but will step down on 20th July, 2021 after completion of his 12 years term.

Mr. ALLEN was also an Independent Non-executive Director of Hysan Development Company Limited (November 2009 to May 2016) and an Independent Non-executive Director of VinaLand Limited (June 2010 to October 2016).

Mr. ALLEN has extensive experience in accounting and auditing as well as securities and regulatory matters. He retired as a partner of PricewaterhouseCoopers in 2007. Mr. ALLEN served on the Securities and Futures Appeals Panel, the Takeovers and Mergers Panel, the Takeovers Appeal Committee, the Share Registrars’ Disciplinary Committee of the Securities and Futures Commission and as member of various committees of the Hong Kong Institute of Certified Public Accountants. From 2010 to 2017 he was an Honorary Advisor to the Financial Reporting Council of Hong Kong, and he was the Chairman of Vision 2047 Foundation (from June 2013 to February 2020).

Mr. ALLEN holds a Bachelor of Arts degree in Economics/Social Studies from The University of Manchester. He is a Fellow of the Institute of Chartered Accountants in England and Wales and a member of the Hong Kong Institute of Certified Public Accountants.  He is awarded “Directors Of The Year 2017” by The Hong Kong Institute of Directors.

 

About the moderator

Andrew Weir is Regional Senior Partner of KPMG in Hong Kong and Vice Chairman of KPMG China. He has over 30 years' experience servicing listed companies, public bodies, investment funds and MNCs in Hong Kong, China, Asia and internationally. He has a keen interest in corporate governance, board leadership and business in the community and leads the quarterly KPMG Independent Non-Executive Directors Forum.

Andrew is a Fellow of ICAEW and HKICPA and is a Fellow and Council Member of the Institute of Directors. He is a regular speaker at forums, universities and business schools on governance and business issues. Andrew has had a number of senior national, global and regional roles with KPMG. He is currently the Global Chairman of Asset Management and Real Estate, and ASPAC Chairman of Infrastructure, Government and Healthcare, which also includes the real estate, hospitality and transport sectors.  Andrew is in the global leadership team of KPMG’s Belt & Road Centre of Excellence and chairs the UK -China corridor leading efforts in establishing greater linkages between Chinese, UK and International business and investment partners.  Andrew previously was Head of Capital Markets at KPMG China and Asset Management in Asia Pacific. Andrew was appointed by the HKSAR Government as a council member of the Hong Kong Trade Development Council (HKTDC) and to sit on the Greater Bay Belt and Road Committee and chair the Global Belt and Road Forum. 

Andrew was appointed by the HKSAR Government as a director of the Financial Services Development Council (FSDC) and chairs its Governance Committee and sits on the FSDC Policy Research Committee.  He previously chaired the Listing Committee of the Hong Kong Stock Exchange and sits on the advisory panels of the Securities Institute, Hong Kong Investor Relations Association and Institute of Chartered Accountants in England and Wales (ICAEW).  Andrew is Chairman of Pacific Basin Economic Council and Plan International and Deputy Chairman of UNESCAP on Financial Services.  He is a director of Asia Pacific Real Estate Association, ANREV and Community Business.  He was previously Chairman of the British Chamber of Commerce in Hong Kong and of Community Business Leadership Council as well as a member of the International Business Council.

Andrew was made an MBE in the Queen’s Birthday Honours List 2017 for his contribution to trade and investment links between Hong Kong, China and the UK and was awarded Director of the Year by the Institute of Directors for his services to the NGO sector.  He is a Justice of the Peace.

He has an honours degree in Economics and a Masters degree in Economic Development.
